Terms of Use

These Rules govern the terms of use of the TeoAds affiliate network (hereinafter referred to as the “Service”) and are mandatory for all Partners.

Partner — any individual or legal entity, as well as an individual entrepreneur, registered in the Service and using the Service for the purpose of attracting traffic, users, or other target actions in favor of Advertisers. The Partner acts independently and is not an agent, representative, or employee of the Service or the Advertiser.

Applicable Law — the legislation of the jurisdiction in which the Partner conducts its activities and to which it is subject, including laws, by-laws, regulatory requirements, and rules mandatory for compliance when working with the Service, attracting traffic, and performing offers, as well as international norms and agreements applicable to the relevant activities.

Offer — any proposal, product, or service of an Advertiser presented in the Service and intended for attracting traffic or generating target actions by the Partner.

An Offer may include conditions such as the type of target action, reward, GEO restrictions, traffic sources, and other parameters determined by the Advertiser and/or the Service. No Offer condition may cancel, amend, or limit the applicability of these Service Rules. In any situation where the Offer conditions conflict with the Service Rules, these Rules shall have exclusive priority and binding force.

Advertiser — any individual or legal entity, as well as an individual entrepreneur, placing traffic acquisition offers (Offers) in the Service.

Service — the website and the online platform that provide Partners with the ability to track traffic and target actions. The Service provides Partner support, technical infrastructure for tracking Partner actions, and fraud prevention (Anti-Fraud), but is not a party to contractual relationships between Partners and Advertisers.

1. Acceptance of the Rules

1.1 Use of the Service constitutes the Partner’s full acceptance of these Rules and their current version.

1.2 The Service reserves the right to amend these Rules at any time without prior notice to the Partner.

1.3 The Partner undertakes to independently monitor changes to the Rules.

1.4 Continued use of the Service after amendments to the Rules constitutes the Partner’s acceptance of the new version.

2. General Provisions

2.1 Cooperation between the Partner, the Service, and Advertisers is carried out on a voluntary basis and does not create agency, employment, partnership, or any other relationships, nor does it give rise to obligations between the parties.

2.2 The Service bears no responsibility for the actions of Partners.

2.3 The Service bears no responsibility for the actions, decisions, or requirements of Advertisers.

2.4 The Partner has the right to discontinue use of the Service at any time at its own discretion.

2.5 The Service has the right to refuse cooperation, as well as to restrict, suspend, or terminate the Partner’s access to the Service unilaterally and without explanation.

3. Legal Matters

3.1 The Service provides exclusively technical infrastructure and does not engage in the distribution, placement, advertising, promotion, or public dissemination of any goods, services, activities, or information, including information and advertising of third parties.

3.2 The Service bears no responsibility for the content, consequences of use, or legal status of third-party websites, services, and materials to which the Partner’s links may lead.

3.3 The Partner independently monitors and bears full responsibility for compliance with Applicable Law when working with the Service, placing links and advertising materials, and attracting traffic, including requirements related to information distribution, advertising, and access to third-party websites.

3.4 In the event that losses, fines, penalties, sanctions, or other negative consequences are incurred by the Service, Advertisers, or third parties as a result of the Partner’s actions or inaction, including fraudulent, unlawful, or bad-faith activities, the Partner undertakes to fully compensate such losses, including direct and indirect damages, fines, legal costs, and any other expenses incurred by the Service and/or the Advertiser.

4. Rewards

4.1 The Service does not guarantee the accrual of rewards for any target actions.

4.2 The accrual, confirmation, rejection, modification, and cancellation of rewards are carried out at the discretion of the Advertiser and/or the Service unilaterally.

4.3 Payment of rewards occurs exclusively between the Advertiser and the Partner. The Service provides technical tracking of actions and bears no responsibility for any aspects of payments.

5. Anti-Fraud / Fraud Prevention

5.1 The Partner is prohibited from using any fraudulent, misleading, or bad-faith methods of attracting traffic or generating target actions.

5.2 Prohibited actions include, without limitation:

  • Fraudulent, incentivized, bot, or artificially generated traffic
  • Use of software, scripts, emulators, proxies, VPNs, or other means to distort traffic sources or user behavior
  • Self-registration, auto-conversions, multi-accounting, cookie stuffing
  • Misleading users regarding the terms of the Offer, the Advertiser’s brand, or product
  • Any other actions aimed at obtaining rewards in an unfair or dishonest manner
  • Any other actions that violate Applicable Law

5.3 In the event of detection or reasonable suspicion of the activities specified in clause 5.2 of these Rules, the Service has the right, at its sole discretion and without prior notice, to:

  • Request completion of Partner identity identification and verification procedures (KYC)
  • Transfer available materials and information to law enforcement, supervisory, and other authorized government bodies, as well as take other actions provided for by Applicable Law
  • Cancel accrued rewards in full or in part
  • Restrict, suspend, or terminate the Partner’s access to the Service

5.4 The Service does not disclose to the Partner the reasons, grounds, criteria, or methods by which bad-faith, fraudulent, or other prohibited activity was identified or suspected, nor the details of internal checks and monitoring systems used.

6. Final Provisions

6.1 All Partner inquiries, including issues related to access to the Service, reward accrual, and the application of these Rules, must be sent exclusively to the following email address: secure@teoads.com.

6.2 The Partner undertakes to take into account all conditions and specifics of the affiliate cooperation model and bears full responsibility for any of its actions when using the Service.

6.3 All matters not regulated by these Rules shall be resolved at the discretion of the Service.
